This was a well-discussed standard corporate recusal.

Which ignores his obvious influence outside of the vote. It is "standard", but it doesn't change a damn thing, which of course, they all know very well. They all sit on each other's boards, and exclude, as well they can, any other shareholder from gaining a seat.
